Hyperdoc provides a software platform to retrieve, organise and manage correspondence and documents, including integration with the ATO.
The Services are administrative tools only. We do not provide tax, financial or legal advice and do not act as a tax agent. You are responsible for reviewing and relying on all outputs generated through the Services.
You may access and use the Services during the Term in accordance with these Terms.
We may update the Services or these Terms from time to time. Continued use of the Services constitutes acceptance of any updated Terms.
You may be provided with access to beta features, which are provided “as is” and may be modified or discontinued at any time.
You must create an Account to use the Services and ensure your details remain accurate.
You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your Account.
Paid Services and pricing are set out on our website. Fees must be paid when due using approved payment methods.
We may suspend access to the Services if payment is not received. You are responsible for any applicable taxes.
We grant you a non-transferable right to use the Services during the Term.
You must not:
a. misuse the Services or breach any laws;
b. interfere with the Services or introduce malicious code;
c. attempt unauthorised access;
d. use the Services to process data unlawfully; or
e. misuse government systems, including ATO systems.
We aim to provide reliable access but do not guarantee uninterrupted availability.
The Services may rely on third-party systems, including the ATO. We do not control these systems and are not responsible for delays, errors or failures caused by them.
The Services are provided on an “as is” and “as available” basis, and to the maximum extent permitted by law, we do not provide any warranties, guarantees or representations regarding the availability, reliability, accuracy or performance of the Services.
We own all intellectual property in the Services.
You retain ownership of Your Data but grant us a licence to use it to provide and improve the Services.
You are responsible for:
• the accuracy and legality of Your Data;
• ensuring you have all required consents; and
• maintaining backups.
We may use anonymised data derived from Your Data for analytics and improvement purposes.
The Services may process sensitive information, including tax file numbers. Hyperdoc includes features designed to assist with the identification and redaction of such information.
While we implement reasonable technical and organisational measures, these features are not guaranteed to identify or remove all sensitive information in every circumstance. You remain responsible for reviewing and verifying any outputs, including documents and communications, before use or disclosure.
We do not guarantee the accuracy, completeness or delivery of any automated outputs or communications generated through the Services.
Each party must protect confidential information and only use it as required under these Terms.
We handle Personal Information in accordance with our Privacy Policy. You must ensure you have the right to provide any Personal Information to us.
We are an Approved Data Recipient under applicable tax laws and will handle ATO data in accordance with legal and regulatory requirements.
Nothing in these Terms excludes your rights under applicable consumer laws, including the Australian Consumer Law.
To the maximum extent permitted by law:
a. we are not liable for indirect or consequential loss;
b. our aggregate liability is limited to the fees paid by you for the Services in the 12 months preceding the event giving rise to the claim; and
c. we are not liable for:
(i) reliance on automated outputs;
(ii) errors or delays from third-party systems (including the ATO); or
(iii) failure to review outputs generated by the Services.
We may suspend or terminate access if you breach these Terms, fail to pay fees, or where required for security or legal reasons.
You may terminate at any time by ceasing use of the Services.
We may retain data as required by law.
a. These Terms are governed by the laws of New South Wales, Australia.
b. We may assign these Terms. You may not do so without consent.
c. Disputes must first be attempted to be resolved in good faith between the parties. If the dispute is not resolved within a reasonable time, either party may commence proceedings in the courts of New South Wales, Australia.
d. The Services may include automated or AI features which may produce inaccurate outputs, and you must verify such outputs before use.
e. The Services do not constitute professional advice.
In these Terms:
a. Account means an account accessible to the individual or entity who signed up to the Services.
b. Consequential Loss includes any consequential loss, special or indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use, and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise. However, your obligation to pay us any amounts for access to or use of the Services (including the Services) will not constitute Consequential Loss.
c. Liability means any expense, cost, liability, loss, damage, claim, notice, entitlement, investigation, demand, proceeding, or judgment (whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise), howsoever arising, whether direct or indirect and/or whether present, unascertained, future, or contingent and whether involving a third party or us or you or otherwise.
d. Personal Information means any information or opinion about an identified individual, or an individual who is reasonably identifiable, whether the information or opinion is true or not, and whether the information or opinion is recorded in a tangible form or not.
e. Services means the services we provide to you, as detailed at the beginning of these Terms.
f. Your Data means the information, materials, logos, documents, qualifications, and other intellectual property or data supplied by you when receiving the Services or stored by or generated by your use of the Services, including any Personal Information collected, used, disclosed, stored, or otherwise handled in connection with the Services. Your Data does not include any data or information that is generated as a result of your usage of the Services that is a back-end or internal output or an output otherwise generally not available to users of the Services.
